Mr. Dietrich focuses on the areas of: business acquisitions and divestitures; real estate sale, leasing and development matters, product supply and distribution transactions, and other commercial agreements; and international transactions. He represents public corporations and private companies of all sizes and structures, and works with them on a variety of commercial and corporate transactions and matters, ranging from financing and restructuring to corporate governance and shareholder rights.

 
Representative Matters
  • Experience includes acquisitions and divestitures; corporate financings and restructurings; real estate sales, leasing, and development projects; and participation in various other corporate, partnership, and limited liability company transactions for private and public companies.
  • Advised and counseled boards of closely-held and public corporations on fiduciary responsibilities, utilizing expertise in corporate governance and shareholder rights and relationship matters.
  • Represents clients active in manufacture and sale of diverse product groupings including vinyl-coated fabrics, aircraft parts, fabricated metal products, wooden accessories and products, office copiers, printers and related accessories and associated services.
  • Colorado representation has included counseling regarding minority shareholder rights, commercial leasing matter and representation of property management and leasing entity in potential asset sale transaction.
Accomplishments

  • Initiated firm's bankruptcy/creditors' rights practice after enactment of new U.S. Bankruptcy Code in 1979, returning to full-time corporate practice in 1988
  • Assisted technical and e-business start-ups in the organizational and capital generation process, and continues to represent many of these businesses
