  • Represented a New York-based company in a second round Series B preferred stock financing
  • Structured and negotiated the acquisition of the equity in a federally chartered savings and loan on behalf of a national bank
  • Structured and negotiated the sale of controlling interest in a construction-related products manufacturer to a management group
  • Structured and negotiated the acquisition of a state-affiliated acute care hospital's assets on behalf of a full-service health care provider
  • Formed limited liability companies and limited partnership holding companies to manage multistate or multinational real estate investments and projects
  • Structured and negotiated the sale of assets and related real estate owned by an iron and steel construction materials manufacturer and fabricator subsidiary to the former management of that business
  • Represented various multinational financial institutions in the provision of credit facilities to a variety of businesses
  • Structured a reciprocal marketing alliance between U.S. and Mexican manufacturers of coated industrial fabrics
  • Represented a nonprofit corporation regarding the development of a 60,000-square foot park for children
  • Structured a new product research and development alliance between U.S. and French manufacturers of coated fabrics that are sold for architectural structure applications
  • Implemented a combination of Private Offering and Franchise documents for manufacturing clients with unique products and diverse national or international operations
  • Structured a product development and marketing alliance between a U.S. producer of polymer-based rubber substitutes and a manufacturer of automobile windshield, window, and similar glass products
  • Formed real estate limited-liability companies or limited partnerships to be used by foreign nationals for investment in U.S. real estate
  • Represented a fixed-based operator (FBO) at one of the busiest executive airports in South Florida in the sale of its operations to one of the largest operators of FBO facilities worldwide, with signification tax and government law issues involved; transaction was a hybrid real estate/corporate transaction combining the sale of operating assets with a sublease of the operating facilities from the seller to the buyer, while retaining the rights to develop two commercial outparcels pursuant to the original lease held from the airport authority
  • Represent an aircraft parts manufacturer in connection with the negotiation and documentation of supply agreements with domestic and foreign airframe manufacturing entities and with suppliers of aircraft component systems
  • Represented numerous ancillary businesses, such as sellers of aircraft parts, maintenance facility operators and remote baggage delivery operators in all aspects of their business, including formation, financing, contracts, acquisitions, and joint ventures
  • Represented a distributor of chemical additives and negotiated a long-term distribution agreement granting them exclusive territorial rights
  • Represented a seller in sales of publishing companies
  • Provided advice to a book publisher concerning copyright, libel, and privacy issues
