Overview
Avery focuses his practice in matters of concern to health care and other professionals. His practice centers on the business transactions of physicians, dentists, accountants, attorneys, engineers, business consultants, and their closely-held entities, as well as the day to day management and maintenance of their business entities. His broad experience extends to health care provider contracts, regulatory issues, compliance and licensing matters, and representation in matters involving state of federal agencies. The relationship with and representation of professionals often includes personal tax, estate planning, and probate matters for the individual owners and their families.
Avery counsels individual professionals and groups across the spectrum of their careers – from first employment and/or acquisition of ownership interests, to start-up enterprises and choices of entity and organizational structures, and through the evolution of the life of a business via organic expansion, acquisitions, mergers, contraction and ultimately its sale. The core of his skill set yields the important internal agreements of corporate and other health care groups and the relationship of their owners to one another that become expressed in employment agreements, buy-sell agreements, operating agreements, service agreements, management agreements and the like. His range of experience enables him to provide guidance in fundamental tax related choices (S Corporation, C Corporation, Partnership flow through), the design and implementation of employee pension plans (tax qualified pension and profit-sharing plans; non-qualified retirement plans), and more unusual decisions faced as a business or practice matures.
