Overview

Ms. Arca’s practice focuses on health care law, with an emphasis on representing and counseling health care providers and companies. Her clients include physicians, home health care agencies, non-medical home service agencies, and medical spa start-ups, addressing issues ranging from federal and state-level health care compliance, corporate formation and compliance, share and interest purchase transactions, contract drafting and negotiation, employment issues, and litigation on administrative, state, and federal levels. She has also given presentations on HIPAA/HITECH, False Claims Act, and Anti-Kickback Statute compliance and federal investigations to home health care agencies and individual healthcare providers. She knows first-hand the challenges of operating a health care-related company as a former general counsel and shareholder of an Illinois non-medical home services agency.

Experience
  • Represented a seller in a $10M sale of a non-medical caregiving and adult day care services company to a venture capitalist-backed buyer. Representation included conversion of the company from corporation to LLC, formation of a holding company, conducting due diligence, and proving the entity’s compliance with laws.
  • Represented dozens of buyers and sellers in the acquisition or sale of partial or full ownership of small and mid-sized healthcare companies, including home healthcare agencies, hospice companies, and non-medical home services agencies. Representation included drafting and negotiating letters of intent (LOIs), conducting due diligence, drafting closing documents, and conducting closings.
  • Drafted and negotiated share and interest purchase agreements, asset purchase agreements, escrow agreements, promissory notes, interest and share pledge agreements, bills of sale, assignments of interests, and other closing documents; licensing agreements for cash-basis private healthcare company franchisors and franchisees; and employment agreements for individual doctors and nurses.
  • Trained client business owners and their staff on changes and compliance with HIPAA/HITECH, False Claims Act, Anti-Kickback Statute, Anti-Inducement Regulations, Medicare and Medicaid laws.
  • Advised clients on forming clinical and healthcare management services entities, including choosing the correct corporate structure and the best shareholders/members to be owners of the entities.
  • Ensured corporate compliance by drafting shareholder and operating agreements, creating and maintaining corporate books for company clients, and conducting annual and special shareholder/member meetings and drafting minutes for said meetings.
  • Drafted and revised internal forms, agreements, policies and procedures, human resources manuals, employee handbooks, HIPAA Business Associate Agreements to ensure compliance with Medicare, Medicaid, federal and state laws and accrediting agencies such as the Joint Commission (JCAHO).
  • Represented a doctor accused of Medicare fraud in his indictment and proffers of information to the U.S. government.
  • Represented clients in FBI/HHS-OIG raids/investigations, responses to federal grand jury subpoenas, and proffers of information to the U.S. government.
